WELCOME TO AUTOBOTS RENT A CAR LLC

AUTOBOTS is owned and operated by AUTOBOTS RENT A CAR LLC (“Company” “we”, “us”, “our” and “AUTOBOTS”).

AUTOBOTS RENT A CAR provides an online vehicle platform that connects Vehicle Owners (“AUTOBOTS”) with those who want to rent the Vehicles (“Guests”) within the United Arab Emirates (UAE). Vehicles includes all vehicles that can legally be driven on public roads including, without limitation, cars, vans, buses and motorcycles, hereinafter collectively referred to as “Vehicles” and each as a “Vehicle”.

These terms and conditions (“Terms”) set out the basis upon which you (as a “User”, “you”, “your” and “Host” and/or “Guests” as the case may be) can access and use the AUTOBOTS website (“Website”) by way of a computer system (including Google/Facebook), mobile device or through a mobile application provided by AUTOBOTS (“Services”)

AUTOBOTS Host Terms set out the terms and conditions that apply to Hosts who make their Vehicle available to rent on AUTOBOTS and are detailed in Section A to the Terms.

AUTOBOTS Guest Terms set out the terms and conditions that apply to Guest who books and rents the Vehicle from the Host on AUTOBOTS and are detailed in Section B to the Terms.

SECTION A GENERAL TERMS

Section A of the Terms sets out the general terms and conditions that apply to each of AUTOBOTS’S Hosts and Guests.

1. TERMS

1. By accessing and using the Services, you agree to be bound by these Terms, the Privacy Policy, and the Cancellation policy terms. If you do not agree with any of the Terms, you may not use the Services.

2. AUTOBOTS may amend these Terms at any time by posting an updated version of the same. encourages you to check the Terms regularly for any amendments to the Terms. Your continued use of AUTOBOTS will constitute your express consent to the then current version of the Terms.

3. Nothing in these Terms affects your statutory rights, either as a consumer of services or otherwise.

2. PRIVACY POLICY

1. The terms of the Privacy Policy are found in AUTOBOTS’s Privacy Policy.

3. MEMBERSHIP

1. You must register, and get verified as a User in order to access and use the Services, whether you are a Host or a Guest. On your registration as a User, we will create a profile for you based on the information you submit. If you link your Facebook account, your Facebook information will be used. In applying to be a registered as a User:

1. you must be at least 21 years of age; and

2. you must provide true, accurate, complete and current information (including, without limitation, your name, date of birth, email address, residential/postal address credit card details, and other details), as well as your current and fully valid Emirates ID/passport copy and driving license, as requested by AUTOBOTS during account creation on the Website. AUTOBOTS may request additional information from you in order to register you as a User and your registration as a User will be subject to providing any such additional information to AUTOBOTS.

2. By registering yourself as a User on AUTOBOTS, you warrant that the details you provide to AUTOBOTS are correct and complete, at all times, and you agree that you will inform AUTOBOTS immediately of any changes to those details (e.g. change of email address). If you are registering as a User on behalf of a business or any corporate body, you are confirming that you hold the appropriate authority to bind the business or corporate body on whose behalf you are registering. You can access and update your details (excluding your name and last name) using the “My Account” area of the Website.

3. You authorize us to use any information provided to us in registering as a User to verify your information (including any updated information), to obtain credit reports about you from time to time while you are registered, and to obtain an initial credit authorization from your credit card issuer at the time of registration, if need be. You must hold a reputed bank credit card issued in your name that is accepted by AUTOBOTS and you must register that credit card with us, and your application for registration must otherwise be acceptable to AUTOBOTS in its own absolute discretion.

4. We take reasonable care to ensure that our Services are secure, and our payment gateway suppliers will be the only entities authorized to collect and use your financial information. All credit card transactions on our Services are processed using authorized providers, which includes MasterCard, Visa, American Express, and a secure online payment gateway that encrypts your card details in a secure host environment. The payment gateway providers will securely store your credit card details on their systems. These details will be fully encrypted and only used to process card transactions, which you have initiated. If you have any issue with your payment, please notify us and we will put you in contact with our payment gateway supplier.

5. To help ensure that your rental experience is safe, simple and secure, we use Secure Socket Layer (SSL) technology.

6. You are responsible for maintaining the confidentiality of your Username and password and for preventing unauthorized access to your profile. You agree to accept responsibility for all activities that occur under or in relation to your account. Please take all necessary steps to ensure that the Username and password is kept confidential and secure at all times. Please inform AUTOBOTS immediately if you have any reason to believe that your Username and/or password has become known to anyone else, or is/are being, or are likely to be, used in an unauthorized manner

7. There can only be one account per User, even where a User is a corporate body.

8. AUTOBOTS reserves the right to refuse access to the Website, terminate accounts, remove or edit content, or cancel orders at AUTOBOTS’s sole discretion and without the requirement to notify you.

9. Account deletion cannot be completed until after all outstanding balances are cleared. However, user can contact our support regarding account deletion

4. BOOKING

1. By registering with AUTOBOTS, Guests gain access to a wide variety of Vehicles, which they can choose from based on price, model, size, as well as other requirements and accordingly enter into a rental agreement with the Host for the rental of a Vehicle on the Terms (“Booking”).

2. There will be two categories of Hosts: private vehicle Owners called “Private Hosts” and Car Rental companies called Commercial Hosts.

3. There will be two categories of Guests: UAE residents renting Vehicles (“Resident Guests”) and non-UAE residents renting Vehicles (“Tourist Guests”). A Resident Guest will hold a valid Emirates ID and UAE driving license. A Tourist Guest will hold a Valid Passport, and an international driving license.

4. Resident Guests may rent Vehicles from Private and Commercial Hosts, whilst Tourist Guests may only rent from Commercial Hosts.

5. If the Guest wishes to rent a certain Vehicle, he/she can make a Booking by agreeing to the Terms.

5. FEES AND PAYMENT TERMS

1. The prices relating to the Services (“Fees”) will be displayed in United Arab Emirates Dirhams (AED) with 5% VAT applicable to the Fees and are set out in the Schedule of Fees.

2. When you make a Booking, AUTOBOTS collects certain personal and transactional information (e.g. name, address, email address). AUTOBOTS’s use of your information is detailed in these Terms.

3. You may pay the Fees for the Booking that you make by supplying your credit card details via the secure online order form on the Website. AUTOBOTS does not accept any other modes of payment for its Services.

4. When you make your Booking, AUTOBOTS’s system automatically asks your card issuer for authorization with regards to the transaction amount. If AUTOBOTS gets a valid authorization, your card issuer will hold this value expecting a charge from AUTOBOTS. The receipt of your credit card details and debit of payments does not constitute AUTOBOTS’s acceptance of your Booking.

5. Bookings will be accepted subject to availability and confirmation by the Host. We may not accept your Booking in a variety of situations, including:

1. if your Booking is in your wish list/basket on the Website, but has not yet been paid for;

2. if the Vehicle is unavailable;

3. if the payment was not authorized;

4. for any other reason (at our sole discretion).

We are not liable to provide you with any further information covering the reason(s) why we have not accepted your Booking.

6. We will not process your payment (or will cease processing your Booking) in these types of situations, and will not be liable to you or to any third party by reason of our decision to decline processing, or unwind or suspend any Booking after processing has begun. We reserve the right to refuse service, terminate your account, or cancel a Booking, at our sole discretion.

7. If you use the Services to make a Booking, you agree to pay the full amount payable for such Booking as indicated during the Booking request process. If the issuer of your credit card refuses to authorize payment, we will cancel your Booking and contact you for re-payment. We cannot be held responsible if this results in a delay regarding your Booking.

8. Once the Booking has been made and payment has been received successfully, we will send you an email confirming the Booking, and receipt of payment.

9. Please do not send to AUTOBOTS any payment information using email, WhatsApp, SMS, over the phone or any other social media portals. AUTOBOTS cannot guarantee the security of any payment information communicated via any of these channels and will not be liable to you for any losses caused as a result of unauthorized access to any of these channels.

10. When renting a vehicle, you may be charged non rental fees which include but are not limited to; traffic fines, damage, fuel charges, tolls, excess fee charges etc. Along with non-rental charges, there are service fees charged by the rental company on each non-rental fee, these fees may differ from host to host and are always mentioned on the rental agreement that you sign before being handed the vehicle. Renters are responsible to clear all charges against their rental.

11. All fees would be deducted automatically from your registered payment card. You agree that we do not need to anticipate any further approval from You to recover such charges. It is your responsibility to maintain adequate funds or credit on your payment method in order to clear the charges. AUTOBOTS is not responsible for any credit card low limit or over limits charges after the deduction. We would process any refund only to the original mode of payment that was made by you to our payment gateway.

12. In case of any outstanding fines AUTOBOTS can charge the renter via its payment gateway using pre authorization to secure payments. In case of any unpaid balance AUTOBOTS has the right to share information only relevant to collecting fines to a third party that will use its own means, legal or otherwise, to collect payments.

13. Using a debit or credit card not under the renter's name is treated as unauthorized use, AUTOBOTS may take legal action against the account user, as a form of fraud that may carry financial or criminal penalties as per the law.

14. The Rental service allows you to access a pool of vehicles made available for rental/leasing by Car Rental Companies. AUTOBOTS does not own ALL the vehicles and does not lease or sub-lease the vehicles to You. Our App is a technology platform that enables you to access vehicles from Car Rental Companies. We collect payment on behalf of the Car Rental Companies and perform administrative services but we are not responsible for the vehicles. You agree to release and hold harmless AUTOBOTS with respect to all losses and liabilities related to the vehicle rental and You agree that AUTOBOTS is not responsible for resolving or mediating any disputes between you and the Car Rental Company.

15. In the event that non-rental charges exceed the rental charges at the time of a rental trip or after the vehicle is returned, we reserve the right to deduct the security deposit at minimum in accordance with the value of the rented vehicle.

6. RATINGS AND FEEDBACK

1. Users may leave ratings and feedback (“Feedback”) on their experience of the Services and other Users.

2. In posting such Feedback, you warrant that:

1. you have engaged with the Users;

2. the statements of fact reflected in the Feedback posted by you are true or not materially different from the truth;

3. you will not use obscene or offensive language or submit any material that is, or may potentially be, defamatory, abusive or hateful, an invasion of anyone’s privacy, harmful to other users, or harmful to the business interests of AUTOBOTS; and

4. only one Feedback per Service is permitted;

3. You acknowledge and accept that your Feedback will be publicly available for viewing on AUTOBOTS. AUTOBOTS is not responsible for checking or editing the Feedback. You consent to the publication of, and authorize AUTOBOTS to publish Feedback, even though such Feedback may be critical or defamatory of you, and even though AUTOBOTS may be aware or ought to reasonably be aware that such Feedback caused or contributed to the publication of a statement that is defamatory of you.

4. You hereby irrevocably release AUTOBOTS from, and waive all rights against AUTOBOTS, in respect of any liability arising out of or in connection with the publication of any defamatory comments made by you or about you in such Feedback. You agree to indemnify and hold harmless AUTOBOTS and its affiliates (and their respective employees, directors and representatives) against any claim or action brought by a third party, arising out of or in connection with any Feedback left by you should you have any claim against any other User of AUTOBOTS. You must address such disputes directly with that User.

5. You agree to take no legal action against AUTOBOTS in relation to the Feedback posted by you or regarding you via the Services.

7. YOUR USE OF THE SERVICES

1. AUTOBOTS grants you a limited, non-exclusive, non-transferable, and revocable license to use the Services for their intended purposes subject to your compliance with these Terms. You may not copy, modify, distribute, sell, or lease any part of the Services. Unless such restriction is prohibited by law or you have our written permission, you may not reverse engineer or attempt to extract the source code of the Services. You may only access the Services through the interfaces that we provide for that purpose (for example, you may access the Services via the Website; you may not “scrape” the Services through automated means or “frame” any part of our Services), and you may not interfere or attempt to disrupt our Services.

2. Some parts of our Services may allow you to upload or submit content (such as text, images, video, lists, links, and other materials). You retain all rights in any content that you upload or submit and are solely responsible for that content. You grant AUTOBOTS a non-exclusive, royalty-free, worldwide, transferable, sub-licensable license to use, store, publicly display, publicly perform, reproduce, modify, create derivative works from, and distribute any such content, including any Feedback, for the purposes of operating, providing, and improving the Services. AUTOBOTS may, in its sole discretion, remove or take down any content, including any Feedback that you upload or submit to the Services, for any reason, including breach of these Terms.

3. You may have the option of accessing the Services through a downloadable software and this software may update itself automatically on your device. [Some software or portions of the software, in our Services may be governed by open source licenses. In that case, we will make such licenses available to you and, in the case of conflict between such a license and these Terms, the open source license will control, but only with respect to the software, or portion of the software, to which it applies].

4. If you are using AUTOBOTS on behalf of a business or other entity, you represent and warrant that you have the necessary authority to bind that business or entity to these Terms and that you are agreeing to these Terms on behalf of that business or entity.

5. We are constantly modifying and improving our Services. We may introduce new features, change existing features, or remove features from the Services at any time and without notice. If you provide us with any Feedback on or other comments regarding the Services, you grant AUTOBOTS the right, on an unlimited, perpetual basis, to use such Feedback or other comments for any purpose without restriction or payment to you.

8. LICENSE

1. AUTOBOTS has the necessary license as issued by Road Transportation Authority (RTA), to provide the Services.

9. AUTOBOTS’S ROLE

1. AUTOBOTS is neither the Host or the Guest of the Vehicles. AUTOBOTS is only a facilitator providing a communication platform between Hosts and Guests to provide Services in accordance with these Terms. Arrangements as to the delivery and pickup of Vehicles are made solely between the Host and Guest, without AUTOBOTS’s involvement. Accordingly, the rental agreement formed through the completion of a Booking using the Services is also solely between the Host and Guest. The enforcement of any contractual obligations arising out of the Booking using the Services is the responsibility of the Host and the Guest as the sole parties to that Booking. AUTOBOTS shall not be responsible in any manner whatsoever with respect to the Booking or any claims or dispute which might arise between Hosts and Guests relating to such Booking. Furthermore, AUTOBOTS is not obliged to mediate between Hosts and Guests with regard to their use of the Services, which is at their own risk. Subject to the Terms, the Host and Guest shall resolve any subsequent dispute directly with each other. In the event of non-resolution of disputes, either Host or Guest may recourse the matter to AUTOBOTS, to where AUTOBOTS may provide sufficient supplementary evidence that could later be used in the involvement of Dubai Courts

2. You hereby irrevocably release AUTOBOTS (and our officers, directors, affiliates, employees and agents) from any damages or claims (including consequential and incidental damages) of every kind or nature, suspected and unsuspected, known and unknown, and disclosed or undisclosed, arising out of or in any way connected with such disputes and your dealings as Hosts and Guests. You shall indemnify and keep AUTOBOTS and its affiliates (and their respective employees, directors and representatives) against any claim or action or damages in relation to such dispute and/or your dealings as Host or Guest.

10. AUTOBOTS’S RESERVATION OF RIGHTS

1. AUTOBOTS retains the right, in its sole discretion, to immediately cancel any Booking; prevent or restrict access to the Services; or take any other action to restrict access to or availability of or remove any objectionable material, Feedback, ratings, inaccurate listings, inappropriately categorized items, unlawful items or items prohibited from listing using the Services under these Terms. AUTOBOTS reserves the right and has absolute discretion, but not an obligation, to remove, screen or edit any content, including Feedback, that breaches these provisions or is otherwise objectionable. AUTOBOTS reserves the right to refuse listings of any Vehicles, or immediately remove any listings, where AUTOBOTS objects to how you identify yourself using the Services (including, but not by way of limitation, your name, branding or marks) and/or if you are otherwise making inappropriate use of your domain name.

2. AUTOBOTS reserves the right to initiate legal proceedings against any Users for fraudulent use of the Services and any other unlawful act or acts of omissions in breach of these Terms.

11. INTELLECTUAL PROPERTY

1. Unless otherwise expressly stated, all contents of the Services are copyrights, trademarks, patents and/or other intellectual property owned, controlled or licensed by AUTOBOTS or one of our affiliates or by third parties who have licensed their materials to us and are protected by all applicable laws.

2. We, together with our licensors, expressly reserve all intellectual property rights in all text, programs, products, processes, technology, content and other materials, which appear on the Services. Access to the Services does not confer and shall not be considered as conferring upon anyone any license under any of our or any third party’s intellectual property rights. Any use of the Services or its contents, including copying or storing it or them in whole or in part, other than for your own personal, non-commercial use, without our permission is prohibited.

12. DISCLAIMER OF WARRANTY

1. The Services are provided on an “as is” and “as available” basis. AUTOBOTS and its affiliates, and our and their respective suppliers, and any of our and their officers, directors, managers, members, agents, and employees, expressly disclaim (to the fullest extent permitted by applicable law) any and all express, implied, and statutory warranties, including, without limitation, any warranties of merchantability, fitness for a particular purpose, freedom from computer virus, title, and non-infringement of proprietary rights.

2. In addition, AUTOBOTS makes no representation, warranty, or guarantee regarding the reliability, timeliness, quality, suitability, or availability of the Services or the Booking. You agree that the entire risk arising out of your use of the Services, any Booking or any other services requested by you or delivered to you, remains solely with you.

3. AUTOBOTS makes no warranty that the Services: (a) will meet your requirements or expectations; (b) will be available on an uninterrupted, timely, secure, or error-free basis; or (c) will be accurate, reliable, free of viruses or other harmful code, complete, legal or safe. The Services may be subject to limitations, delays and other problems inherent in the use of the internet and electronic communications. AUTOBOTS is not responsible for any delays, delivery failures or other damages resulting from such problems.

13. LIMITATION OF LIABILITY

1. To the maximum extent permissible by applicable law, AUTOBOTS and its affiliates, and our and their respective suppliers, and any of our and their officers, directors, managers, members, agents, and employees:

1. are not liable for any direct, indirect, punitive, incidental, special, or consequential damages or loss (including, without limitation, incidental and consequential damages, lost profits, or damages resulting from lost data or business interruption) arising out of, or in a way connected with the use or inability to use the Services and its content, whether based on warranty, contract, tort (including negligence), or any other legal theory, and whether or not AUTOBOTS is advised of the possibility of such damages; and

2. exclude any and all liability for damages caused by, any problems or technical malfunction of any telephone network or lines, computer online systems, servers or providers, computer equipment, software, failure of any communications due to technical problems or traffic congestion on the internet or on the Services or combination thereof, including any injury or damage to any users or to any person’s computer related to or resulting from use of the Services;

3. In relation to any Host, any damage to the Vehicle by the Guest;

4. In relation to any Guest, are not liable for any loss or damage to property due to any fault or defect in a Vehicle rented out by a Host, all risks of damages or injury, including death.

2. Where it is not possible to exclude liability under applicable law, you agree that the maximum liability of AUTOBOTS and its affiliates, and our and their respective suppliers, and any of our and their officers, directors, managers, members, agents, and employees for any corresponding claim shall be limited to an amount of AED 100.

14. INDEMNITY

1. You hereby agree to hold harmless and indemnify AUTOBOTS and its affiliates, and our and their respective suppliers, and any of our and their officers, directors, managers, members, agents, and employees, from and against any claims, liabilities, suits, judgments, litigation costs, causes of action, demands, recoveries, losses, damages (actual and consequential), fines, penalties, and attorneys’ fees or other costs or expenses of any kind or nature arising from or in any way related to your use of the Services, including, but not limited to those brought by you or on your behalf in excess of the liability described above, or by third parties as a result of your breach of these Terms, your violation of any law or the rights of a third party, and/or your use of the Website and/or the Services.

15. RELATIONSHIP

1. These Terms (as amended by AUTOBOTS from time to time in accordance with its terms) sets out the entire understanding and agreement between you and AUTOBOTS with respect to the use of the Services.

16. TERMINATION

1. AUTOBOTS may suspend or terminate your access to all or part of the Services, without a court order and without prior notice, if it believes that your conduct is in violation or breach of the Terms in place or any contract signed with AUTOBOTS, applicable law, or otherwise harmful to the interests of AUTOBOTS or any third party. Notwithstanding such termination or suspension, you agree that you will continue to be subject to the obligations which, by their nature, survive such termination or suspension, including the obligations relating to any outstanding payments for any current or upcoming bookings, any intellectual property rights, and User generated content

17. ELECTRONIC COMMUNICATIONS

1. To fulfill our obligations to you under these Terms, we may wish to communicate with you by email and/or by posting notices via our Services. You agree to receive communications from us electronically, and these electronic communications will satisfy any legal requirement for communications which need to be in writing.

18. GENERAL TERMS

1. Relationship: None of the provisions of these Terms will be deemed to constitute a partnership or agency between you and AUTOBOTS and you will have no authority to bind AUTOBOTS in any manner whatsoever.

2. Severability: If any provision of these Terms is held by a court of competent jurisdiction to be invalid, illegal or unenforceable and can be deleted without altering the essence of these Terms, the invalid, illegal or unenforceable provision will be severed and the remaining provisions will remain in full force or effect.

3. No Waiver: Any failure by AUTOBOTS to enforce any terms set out in these Terms or other policies with you is not a waiver of the Company’s rights to enforce those terms.

19. GOVERNING LAW AND JURISDICTION

1. The Terms shall be governed by the laws in force in the Emirate of Dubai, United Arab Emirates. Any dispute regarding these Terms shall be subject to the exclusive jurisdiction of the Courts in Dubai. If any portion of the Terms is held to be unenforceable, invalid or illegal by any court of competent jurisdiction, the remainder of the Terms shall not be affected. United Arab of Emirates is our country of domicile

20. LEGAL

1. Please read carefully the following legal agreement before using this Website/App. By using our platform, you signify your assent to these terms of use. If you do not agree to these terms of use, please disconnect from and do not use this WebApp/Mobile Applications.

SECTION A HOST TERMS

Section A of the Terms sets out the specific terms and conditions that apply to Hosts.

1. REGISTERING A VEHICLE

1. If you wish to use the Services to rent out your Vehicle as a Host, you must belong to one of the following two categories: individuals (Private Hosts) or car rental companies (Commercial Hosts), You must be a registered User and you must register your Vehicle (“Registered Vehicle”) by providing:

1. a complete and accurate description of the Registered Vehicle that is not misleading, with such description including details of any material defects or deficiencies with the Vehicle;

2. specify the Host Fee for the period of the rental of the Vehicle from pick-up time to drop -off time (which may vary depending on the Booking) (each a “Rental Period”), it being acknowledged that the rental price that will be displayed for a Registered Vehicle will be the Host Fee, plus AUTOBOTS’s commission (“AUTOBOTS Fee”) plus 5% VAT (together the “Rental Price”);

3. specify a proposed pick-up location and proposed drop-off location.

2. You must not register a Vehicle as a Registered Vehicle unless:

1. it has a current UAE vehicle license;

2. you have a current, valid, and existing, comprehensive insurance policy in place covering the Registered Vehicle(s) and including terms which allow you to make your Vehicle available as a Registered Vehicle to Guests in accordance with the Terms;

3. you own the Registered Vehicle or otherwise have the right to register the Registered Vehicle as contemplated by these Terms.

3. If, at any time after being registered, the Vehicle no longer meets the above requirements, you must remove the Vehicle from your profile and no longer accept any Booking requests for that Vehicle.

4. You acknowledge and agree that:

1. you may update the Host Fee at any time, subject to AUTOBOTS approval, although any Host Fee included as a part of the Rental Price on a Booking that you have accepted cannot be changed;

2. you may update the proposed pick-up location and proposed drop-off location at any time prior to the Bookings;

3. no further changes can be made after the booking confirmation and that you shall contact AUTOBOTS as soon as practically possible for situations beyond your control;

4. you must update the Registered Vehicle details and description immediately if they change.

5. You warrant to us that the Registered Vehicle matches, and will continue to match, the description you have provided at all times whilst listed on the Services and during any Rental Period.

2. BOOKING PROCEDURE FOR HOSTS

1. The following procedure will apply in relation to the acceptance of a Booking by a Host:

1. Hosts may make their Registered Vehicle available for rent using the Services, specifying the time periods during which the Registered Vehicle is available to rent in accordance with the availability procedures set out on the Services;

2. on receipt of details of the Booking request, you may, at your sole discretion, choose to accept or decline to rent your Registered Vehicle to a Guest who has submitted the Booking request. If you accept a Booking request, you acknowledge and agree that this will, subject to clause ‎(c), Instant bookings can also be enabled, this means that a guest will have the ability to get instant confirmation on his/her booking without having to wait for host approval, subject to clause ‎(c)

3. Upon a confirmation of the booking whether instantly or by you as a host, it is binding as a Booking on both the Host and the Guest, and subject to the cancellation fees rolled out in the fees and fines table;

4. upon confirmation by the Host or instant confirmation booking, a Booking confirmation will be issued by AUTOBOTS to the Host and the Guest;

5. the Host, not AUTOBOTS, is solely responsible for honoring any confirmed Booking and making the Registered Vehicle available to the Guest to satisfy the Booking.

3. CANCELLATION OF A BOOKING

1. Subject to AUTOBOTS Cancellation policy and without limiting clause ‎3.4, you may cancel a Booking via the Services

1. subject to payment by yourself off the applicable cancellation fee (as specified in the Cancellation Policy), at any time before the commencement of the Rental Period.

2. Subject AUTOBOTS Cancellation policy and to clause 3.4, as part of a Booking:

1. if you fail to make the Registered Vehicle available at the pick-up location within 60 minutes after the start of a Rental Period; or

2. if the Guest determines (acting reasonably) that the Registered Vehicle is materially different from the description of the Registered Vehicle on the Services, you will be deemed to have failed to complete a Booking and considered as “a host no show” and must pay the applicable fees according to the AUTOBOTS fees and fines table.

3. We may terminate your registered User account if you repeatedly cancel Bookings.

4. You may cancel a Booking without the need to pay a cancellation fee if you meet the Guest at the pick-up location at the commencement of a Rental Period and the Guest is, in your opinion (acting reasonably), unfit to drive at the commencement of the Rental Period, including due to intoxication.

5. You may cancel a Booking without the need to pay a cancellation fee If the credit or debit card provided by the guest couldn't process the deposit specified by you in your host rules.

6. If you cancel the Booking in accordance with clause 3.4 and/or clause 3.5 above, you will not need to pay a cancellation fee and you will still receive the Host Fee if:

1. you notify us immediately of the cancellation and inform us of the reason you cancelled the Booking; and

2. upon reasonable enquiry, we verify that the reason you cancelled the Booking was reasonable in the circumstances.

4. RENTAL

1. For each Booking of a Registered Vehicle of which you are the Host, you agree:

1. to make the Registered Vehicle available for rent to the Guest for the Rental Period; and

2. that the Guest will have exclusive use of the Registered Vehicle for the Rental Period.

2. The Guest may request the Host to extend the initial Rental Period for an extended Rental Period provided the Registered Vehicle is available to rent during those times. Neither the initial Rental Period nor any extended Rental Period, whether individually or combined, may be more than 90 days.

3. The Guest must inform the Host in advance with regard to the extended Rental Period and prior consent must be obtained from the Host. In any case, the Guest must inform AUTOBOTS of the extended Rental Period agreed with the Host prior to the expiry of the initial Rental Period by making an extension through the AUTOBOTS platform.

4. Host shall be responsible for the normal service, repair, fair wear and tear and to provide the Guest with another vehicle for temporary use while repairing the vehicle if any such scenarios arises during an extended Rental Period.

5. Host shall be responsible for providing professional services to its Guests as they are obtained through the AUTOBOTS Platform.

6. Host shall be devoted to settle amicably any disputes directly with the Guests.

5. PRICING AND PAYMENT

1. Each Host hereby appoints AUTOBOTS as the Host’s authorized payment collection agent solely for the purpose of collecting the Rental Price and any other charges payable by the Guest in accordance with these Terms from the Guest. In relation to each Booking, and subject to the Terms, AUTOBOTS will pay to the Host:

1. the Host Fee; and

2. the allocation of any other charges payable, calculated in accordance with the Schedule of Fees.

2. The Host Fee will not include any VAT. If you are VAT registered and are required to collect VAT on the rental of your Registered Vehicle, you must contact us on info@autobotsrentacar.com.

3. The Host accepts that AUTOBOTS’s obligation to pay the Host the Host Fee and any other charges as listed in our fees and fines payable under a Booking is conditional upon successful receipt of the associated payments from the Guest relating to the Booking.

4. Subject to clause 5.3 above, we will pay you the Host Fee on the 10th day of the month following the month in which the relevant Rental Period ended.

5. Payments will be made by direct deposit into the bank account you provided us details of when registering as a User. Security deposit if applicable to be collected directly by Commercial Hosts only

6. VEHICLE HANDOVER PROCEDURE

1. The following procedure will apply in relation to the handover to a Guest as part of a Booking of a Registered Vehicle of which you are the Host:

1. you must meet the Guest at the pick-up location at the commencement of the applicable Rental Period with the booked Vehicle;

2. you must not make any representations to the Guest on behalf of AUTOBOTS;

3. you must ensure that the Registered Vehicle continues to meet the requirements under clause ‎1 of Section A (Host Terms) for the duration of the Rental Period. You must ensure that the Registered Vehicle, at the start of the Rental Period:

(a) is in a roadworthy, serviceable and safe condition;

(b) has a spare tyre that is roadworthy and inflated;

(d) has all required vehicle fluids, transmission, oil, coolant, brake and power steering, and fluid and wiper wash at a satisfactory level to last the duration of the Rental Period;

(e) has a full tank of fuel;

(f) is reasonably clean;

(h) does not contain any of your personal belongings;

(i) shall be in compliance with the RTA regulations.

4. You must, prior to providing the Registered Vehicle to the Guest:

(a) ensure that the Guest presents to you a driving license issued to the Guest that is valid and current for the full duration of the Rental Period and that is appropriate for the booked Vehicle. Please see list of countries whose driving license is recognized Road and Transportation Authority in the UAE. The UAE does not recognize driving licenses from any country that is not on this list. This list will be updated by AUTOBOTS from time to time and you should check this list before any Booking. You must not retain the Guest’s driving license, their passport or any other Guest documentation (including any credit cards) at any time during the Rental Period.

(b) photograph the Registered Vehicle, clearly documenting the condition of the Vehicle. You also hereby grant the Guest the right to photograph the Registered Vehicle for the limited purpose of documenting the condition of the Registered Vehicle, both at pick-up and at drop-off in accordance with the Terms.

2. It is your responsibility to ensure that you take all necessary steps to record clear and reliable evidence to prove the condition of the Registered Vehicle at the commencement of the applicable Rental Period.

7. VEHICLE RETURN PROCEDURE

1. At the end of each Rental Period for a Registered Vehicle of which you are the Host:

1. you must be available to collect your Registered Vehicle at the drop-off location at the end of the Rental Period; you must photograph the Registered Vehicle noting any areas of damage, if any.

2. In case of discontinuation in service or booking for a customer due to any reason neither AUTOBOTS nor the host/owner of the vehicle won't be responsible for valuable items in the vehicle during the forced collection of the vehicle.

8. DAMAGE

1. Under the Terms, the Guest agrees to adhere to all of the terms of the Host’s Registered Vehicle insurance policy and is responsible to pay the car insurance excess value as defined under the Host’s Vehicle insurance policy.

9. INFRINGEMENT FEE CLAIMS

1. If you receive an infringement fee:

1. for parking in any portion of a road in breach of traffic laws; or,

2. Offences detected by approved vehicle surveillance equipment, the Police or a traffic enforcement official that is:

(a) a speeding offence;

(b) an offence in respect of failure to comply with the directions given by a traffic signal; or

(d) the offence to which the infringement fee relates was committed during a Rental Period, such infringement fee shall be transferable from you to the Guest who has rented the Vehicle, i.e. the infringement fee will transfer from the Host to the Guest who was operating the Vehicle at the time of committing the offence or breaching the UAE traffic law, AUTOBOTS allows such disputes to be settled outside the platform.

GUEST TERMS AND CONDITIONS

1. REGISTERING AS A GUEST

1. If you wish to use the Services to make a Booking to rent a Registered Vehicle for your own use, you must be a User and you must upgrade your profile to Guest-verified status. To upgrade to Guest-verified status, you must provide us with true, accurate, complete and current information (including name, date of birth, email address, credit card details, and other details), as well as your current and fully valid Emirates ID/passport copy and driving license, and upload both documents to the Services. We may, at our discretion, ask you for other information/documentation and the upgrade of your profile to Guest is subject to you providing any such additional information to us.

2. Please see list of countries whose driving license is recognized within the UAE Road and Transportation Authority. The UAE does not recognize driving licenses from any country that is not on this list. To be a Guest, make a Booking and drive a Registered Vehicle, you must hold a driving license from one of these countries. This list may be updated, from time to time, and you should check the list before making any Booking.

3. You can only rent a Registered Vehicle that is intended to be driven by you for the Rental Period and for which you are licensed to drive in accordance with your driving license(s).

4. If, at any time after becoming a User, your driving License expires, is suspended or is revoked, you must notify us immediately, cancel any current Bookings, and not make any further Bookings until such time as you hold a current and valid driving license.

2. BOOKING PROCEDURE FOR GUESTS

1. The following procedure will apply in relation to the creation of a Booking by a Guest:

1. You may make a Booking request via the Services specifying the Registered Vehicle you wish to rent and the Rental Period for which you require the Registered Vehicle.

2. The Host may, at his/her sole discretion, choose to accept or decline the Booking request. If the Host accepts the Booking request, you agree to pay the Rental Price to us. If you fail to pay the Rental Price, the Registered Vehicle will no longer be available under the Booking request.

3. You agree that you are bound to complete the resulting Booking from an accepted Booking request, provided that:

(a) you can withdraw/cancel the Booking request at any time before we have confirmed that the Booking request has been accepted in accordance with clause 2.2 below; and

(b) you can cancel a Booking in accordance with clause ‎3.

2. A Booking request will become a Booking once it has been confirmed by us and you have paid us the Rental Price.

3. CANCELLATION OF A BOOKING

1. Without limiting clause ‎3.4 below, and subject to AUTOBOTS Cancellation policy you may cancel a Booking at any time before the commencement of the Rental Period, in which case you will receive a refund of the Rental Price less the applicable cancellation fee(s) as detailed in the Cancellation Policy.

2. If you:

1. fail to collect the Registered Vehicle you have booked at the pick-up location within 120 minutes after the start of a Rental Period; or

2. the Host determines (acting reasonably) that you are unfit to drive at the commencement of the Rental Period, including due to intoxication, you will be deemed as “a guest no show” and clause ‎3.3 below will apply.

3. Subject to clause 3.5 below, if you cancel a Booking you will be subject to the cancellation policy and you will have to pay the fines rolled out in the fees and fines table ;

4. You may cancel a Booking without the need to pay a cancellation fee if you meet the Host at the pick-up location at the commencement of a Rental Period and the Registered Vehicle is, in your reasonable opinion, materially different from the description of the Registered Vehicle on AUTOBOTS.

5. Where you cancel the Booking in accordance with clause 3.5 above, you will not need to pay a cancellation fee and you will receive a refund of the Rental Price if:

1. you notify us immediately of the cancellation and inform us of the reason why you cancelled the Booking; and

2. upon reasonable enquiry, we verify that the reason you cancelled the Booking was reasonable in the circumstances. If the Host cancels his or her Booking with us, we will refund you the Rental Price. You are not entitled to receive any part of any cancellation fee that may be charged to the Host in such circumstances.

6. AUTOBOTS cannot be responsible for last-minute cancellations, while in the control of the customer or not. If the host is not willing to process the refund, AUTOBOTS cannot initiate a refund for the same.

4. RENTAL

1. For each Booking where you are the Guest, you agree:

1. to rent the Registered Vehicle from the Host for the Rental Period and for the Rental Price as specified in your Booking;

2. only You will be allowed to drive the Vehicle

4. Subject to AUTOBOTS cancellation policy, If the Guest fails to return the Registered Vehicle to the Host before the end of the Rental Period (which could include an extended Rental Period) and after a grace, without limiting any other rights or remedies of the Host or us at law, the Guest shall be liable for an additional fee (the “Overdue Fee”) for the period of additional time until the Guest returns the Registered Vehicle to the Host (the “Delay Period”). The Overdue Fee shall be calculated as the daily rate that applied to the Vehicle at the time of the Booking, pro-rated for the length of the Delay Period. The Guest may also be liable for additional insurance charges in relation to the Delay Period and any reasonable costs incurred by the Host or a subsequent Guest as a result of the late return of the Registered Vehicle. The Guest will remain responsible for all the Guest’s obligations for the full duration of any Delay Period.

5. PRICING AND PAYMENT

1. You must pay the Rental Price by credit card as part of the Booking request process before a Booking is made. The Rental Price is inclusive of 5% VAT.

2. You agree to pay any additional fees listed in the fees and fines table or other costs incurred in connection with the Booking including but not limited to Salik and Parking Fees. The host may directly invoice you for any additional fees or other costs and they will be settled via your registered payment method, this settlement may happen outside the App. The additional fees will be inclusive of 5% VAT.

3. Excluding any insurance policies that AUTOBOTS may provide, Commercial Entities must have “comprehensive Insurance” associated with all their vehicles prior to uploading on AUTOBOTS Platform. This insurance must be included with the rental price provided by commercial entities.

4. All new levies, taxes, road permits, entry permits or road tolls introduced or increase in existing levies, taxes, road permits, entry permits by the Government or by any competent authorities after the Booking, will be charged as and when they become payable.

6. VEHICLE HANDOVER PROCEDURE

1. The following procedure will apply in relation to the handover of a booked Vehicle that you are renting:

1. you must meet the Host at the pick-up location at the commencement of the applicable Rental Period and present your driving license for the Host to check – which must be valid and current for the duration of the Rental Period – and a confirmation of the Booking to the Host. You should never provide your driving license, passport or credit card (or any copy of any of the foregoing) to a 'Host to hold for the Rental Period;

2. you must, prior to accepting the booked Vehicle from the Host, photograph the booked Vehicle noting any areas of pre-existing damage. In accordance with clause 6.1(d)(ii) of Section A (Host Terms), the Host has granted permission for you to photograph the Registered Vehicle as required for the purposes of this clause 6.1(b);

3. it is your responsibility to take necessary steps to record evidence of pre-existing damage to the Registered Vehicle to prove the condition of the Registered Vehicle at the commencement of the applicable Rental Period.

7. VEHICLE RETURN

1. At the end of each Rental Period for a Registered Vehicle that you are renting:

1. you must return the Registered Vehicle to the agreed drop-off location;

2. you will incur an additional fee, as set out in the Schedule of Fees, if the Registered Vehicle is returned late. There is no reduction of the Rental Price if a booked Vehicle is returned early;

3. if:

(a) you do not return the Registered Vehicle with a full tank of fuel;

(b) the Registered Vehicle is not in a clean and tidy state; and/or

(c) there is evidence that the booked Vehicle has been smoked in during the rental period, you will be invoiced the applicable additional fee, as set out in host rules .

2. You must, on return of the Registered Vehicle to the Host, photograph the Registered Vehicle clearly documenting the condition of the Registered Vehicle.

3. It is your responsibility to ensure that you take necessary steps to record evidence to prove the condition of the Registered Vehicle at the conclusion of the applicable Rental Period.

8. YOUR OBLIGATIONS

1. In respect of a Booking, you must:

1. ensure that all reasonable care is taken in using the Registered Vehicle, including securely locking the Registered Vehicle when not in use;

2. maintain the recommended levels of water or coolant in the radiator and battery and tyre pressures of the Registered Vehicle;

3. if a warning light is activated on the Registered Vehicle, stop driving the Registered Vehicle and contact the Host as soon as reasonably practicable;

4. ensure that you and all passengers comply with all applicable laws, including all laws relating to child restraints;

5. notify the Host of any damage to the Registered Vehicle immediately upon becoming aware of the damage;

6. if the Registered Vehicle is stolen, notify the Host and the Police as soon as practically possible after discovering this theft;

7. bear the fine or other expenses incurred through traffic violations committed during the Rental Period;

8. ensure that no alterations are made to the vehicle or any component removed;

9. be responsible for costs relating to fuel, tyre puncture as well as towing expenses (if any);

10. ensure that a copy of these Terms and the Booking is kept in the Registered Vehicle throughout the Rental Period, and you must produce these Terms and the Booking without delay for inspection on demand by the Police or a traffic enforcement official; and

2. In respect of a Booking, you must not:

1. smoke or permit any person to smoke in the Registered Vehicle;

2. carry or permit any animals in the Registered Vehicle;

3. carry any dangerous or hazardous material in the Registered Vehicle;

4. misuse the Registered Vehicle in any way;

5. use the Registered Vehicle for any illegal purpose or drive the vehicle off-road, including on any beach;

6. allow anyone other than you to drive the Registered Vehicle;

7. use or allow the Registered Vehicle to be used for the transport of passengers for hire or reward, [including using the Registered Vehicle for any commercial or business purpose unless the Registered Vehicle is specifically rented out for commercial purposes];

8. sub-rent or hire the Registered Vehicle to any other person;

9. allow the Registered Vehicle to be operated outside of your authority or control;

10. operate the Registered Vehicle or allow it to be operated in a race, speed test, rally, or contest;

11. operate the Registered Vehicle or allow it to be operated in breach of the traffic laws as applicable in each Emirate of the UAE;

12. operate the Registered Vehicle or allow it to be operated for the transport of more than the number of passengers or more than the gross vehicle mass specified in the certificate of loading for the Registered Vehicle.

9. ACCIDENTS AND DAMAGE

1. If the Registered Vehicle is damaged during the Rental Period, you must report the damage to the Host and AUTOBOTS immediately.

2. Without limiting clause ‎9.1, if the Registered Vehicle is involved in an accident during the Rental Period, you must:

1. make the Registered Vehicle secure and inform the Police immediately;

2. make the Registered Vehicle secure and inform the Police immediately;

3. record the car license number of any other vehicles involved and the name and address of any other drivers involved;

4. record the name and address of any witnesses;

5. not make any admission of liability or agree any settlement arrangement (including the payment of any monies) relating to the accident and/or the damage.

3. You must not arrange or carry out any repair work to the Registered Vehicle; you must go through the necessary insurance process in the event of the Vehicle sustaining any damage, or upon discovering that part of it is faulty. In the event, you arrange or carry out the repair yourself, then you shall be liable to compensate the Hosts in accordance with the claims raised by Hosts.

10. YOUR LIABILITY

1. In respect of a Booking, you will be liable for:

1. any loss of, or damage to, the Registered Vehicle;

2. any consequential damage, loss or costs incurred by us or the Host, including salvage costs and any damages or costs we must pay to the Host and/or;

3. any loss of, or damage to, property of any third party.

11. DAMAGE CLAIMS

1. The Guest agrees to adhere to all terms of the Host’s Vehicle insurance policy and is responsible to pay any car insurance excess value as defined under the Host’s Vehicle insurance policy in the circumstances that there is damage to the Registered Vehicle that necessitates a claim under the Host’s Vehicle insurance policy.

12. INSURANCE AND PROTECTION PLANS

1. AUTOBOTS does not insure hosts or guests. Please refer to the specific terms for guests and specific terms for hosts sections below for additional information based on the nature of your use of the Services.

2. For any collision or accident where you are at fault, an Insurance Excess Fee shall apply, as determined in accordance with the Fee Schedule depending on the level of collision damage waiver purchased. You are required to pay such excess fees to the host on demand. Before you proceed with booking, check with the host what does a Collision Damage Waiver or CDW Not Cover.

3. By taking out optional liability limitation and collision damage waiver protection when entering into the Rental Agreement, you agree to pay an additional charge per rental day at the current rate. This will limit Your liability and that of any Authorized Driver for material damage caused to the vehicle and its accessories and equipment, and for theft up to the amount stated in the Rental Agreement, possibly up to full exemption, according to the complementary cover taken out.

13. INFRINGEMENT FEE CLAIMS

1. You will be liable for all infringement fees if:

1. the infringement fee arises:

for parking in any portion of a road in breach of traffic laws; or

for an offence detected by approved vehicle surveillance equipment, the Police or a traffic enforcement official that is:

§ a speeding offence;

§ Offences in respect of failure to comply with the directions given by a traffic signal;

§ a toll offence; and

§ the offence to which the infringement fee relates was committed during the rental period.

2. Wherever possible, it is the responsibility of the Guest to pay the relevant authorities directly. The Guest must provide a written report of any offences committed by the Guest during a Booking to AUTOBOTS and the Host on return of the Vehicle at the end of the Rental Period and provide receipts showing any payments to the relevant authorities.

3. In the case of speeding offences (and where otherwise obliged by law) the Guest acknowledges and agrees that AUTOBOTS and/or the Host may pass on the Guest’s details to the police or relevant authority, who may then contact the Guest directly.

4. The Guest will be liable for any parking charges incurred at the point of return.

14. REPOSSESSION

1. We are entitled to terminate a Booking and take immediate possession of the Registered Vehicle without notice to you if you breach any provision of these Terms.

2. You will indemnify us for any costs incurred in connection with any such repossession and will be liable for any applicable additional fees.
